Terms of sale

1. Scope

These terms govern every sale by Kilo Peptides, trading as Kilo Peptides ("Supplier"), to a business purchaser ("Buyer"). Placing an order accepts these terms. Buyer purchase-order terms do not apply unless Supplier accepts them in a signed writing.

2. Eligibility

Supplier sells only to businesses, laboratories, and research organizations. Buyer represents that it is at least 21 years of age, is acting for a business rather than as a consumer, and has provided accurate business documentation. Supplier may decline or cancel any order and may require documentation at any time.

3. Research use only

All products are supplied strictly as laboratory research chemicals. They are not for human or veterinary use, not for use in diagnostic procedures, and are not drugs, food, cosmetics, dietary supplements, or medical devices. They have not been evaluated by the U.S. Food and Drug Administration. Supplier is not a compounding pharmacy and is not an outsourcing facility as those terms are used under U.S. federal law. Buyer will not use, resell, or present any product for human or animal consumption or administration.

4. Unlabeled supply

All product is supplied in unlabeled containers. Supplier applies no label, offers no labeling service, and will not print, source, or approve labels for Buyer at any price. Unprinted label stock, where offered, is supplied as unprinted material only. Buyer is solely responsible for producing and applying all labeling.

5. Resale, labeling, and Buyer verification

Buyer may resell product under its own brand subject to the following, each of which is a material condition of sale:

  • Buyer will independently verify the identity, purity, and suitability of each lot before applying its own label or reselling it. Supplier documentation, including any certificate of analysis, is supplied for reference and does not discharge this obligation or constitute Buyer's release decision.
  • Buyer is solely responsible for all labeling, packaging, instructions, warnings, and marketing claims applied to product it resells, and for the evidence supporting them.
  • Buyer will not state or imply that Supplier certified, approved, endorsed, or is responsible for Buyer's finished product.
  • Buyer will not represent any product as safe or effective for use in humans or animals, and will pass equivalent research-use restrictions to its own purchasers.
  • Buyer will maintain traceability from Supplier's lot identifier to Buyer's finished units and will retain those records for five (5) years.

6. Orders, pricing, and minimums

Catalog listings are invitations to order, not offers. Prices, minimum order quantities, and availability may change without notice and are confirmed only on Supplier's order acknowledgement or quotation. Quotations are valid for fourteen (14) days unless stated otherwise. Published tier pricing applies to the listed volume break for a single delivery.

7. Payment

Payment terms are prepayment in full before shipment. Accepted methods are Bitcoin, domestic wire transfer, and card checkout when those methods are offered at checkout. Overdue amounts accrue interest at one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is lower. Prices are exclusive of sales tax, shipping, duties, and insurance. Unless Supplier is required by law to collect and remit a tax, Buyer is responsible for determining and remitting any applicable sales, use, or similar taxes to Buyer’s state or local revenue authority.

8. Shipping, title, and risk

Cutoff
Orders placed before 2:00 PM Mountain Time ship the same business day.

USPS, Priority Mail. Tracking is emailed when the label is created.

No. Lyophilized products are stable at ambient temperatures during transit.
Destinations
We ship exclusively within the United States.

Supplier ships to destinations within the United States only. Orders to addresses outside that area are refused at checkout and are not accepted, held, or forwarded. Supplier is not an exporter of record and does not arrange international carriage, customs clearance, or import permits.

Shipment terms are FCA Supplier's facility (Denver, Colorado). Title and risk of loss pass to Buyer on delivery to the carrier. Lead times are estimates, not guarantees, and Supplier is not liable for delay. Where Buyer subsequently exports material it has received, Buyer is the exporter of record and is solely responsible for all export controls, duties, permits, and restrictions that apply.

Buyer must inspect each shipment on arrival and notify Supplier in writing of shortage, visible damage, or non-conformance within seven (7) days of delivery. Claims outside that window are waived.

9. Returns

If something arrives damaged, arrives wrong, or arrives with a report that does not match the lot on the label, email milo@kilopeptides.com within 7 days. We replace it or refund it. Photographs help and are not required.

Because material passes out of Supplier's control and storage conditions cannot be verified after delivery, product is otherwise non-returnable. Returns are authorized only for damage, wrong goods, or a certificate of analysis that does not match the lot supplied, under the remedy above. Where a return is authorized, it requires a return authorization number issued in advance, unopened original packaging where practicable, and return within seven (7) days of authorization. Custom synthesis and made-to-order lots are non-returnable.

10. Limited warranty and disclaimer

Supplier warrants only that, at the time of shipment, product conformed to the specification stated on the certificate of analysis for that lot. This is the sole warranty given. Buyer's exclusive remedy for breach is, at Supplier's option, replacement of the non-conforming quantity or refund of the price paid for it.

EXCEPT AS EXPRESSLY STATED ABOVE, PRODUCT IS SUPPLIED "AS IS" AND SUPPLIER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUPPLIER MAKES NO REPRESENTATION THAT ANY PRODUCT IS SAFE OR EFFECTIVE FOR ANY USE IN HUMANS OR ANIMALS.

11. Limitation of liability

Supplier's total liability arising out of or relating to any order will not exceed the amount Buyer paid for the specific product giving rise to the claim. Supplier is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, business interruption, recall costs, or regulatory penalties, even if advised of the possibility. Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Indemnity

Buyer will defend, indemnify, and hold harmless Supplier and its officers, employees, and agents against all claims, damages, penalties, and costs, including reasonable legal fees, arising from Buyer's handling, use, storage, labeling, marketing, or resale of product, from any claim made on Buyer's label or in Buyer's marketing, from Buyer's failure to verify material, and from Buyer's breach of these terms or of any applicable law.

13. Compliance and export

Buyer is responsible for determining and complying with every law and regulation applicable to its purchase, possession, handling, and resale of product in every jurisdiction in which it operates, including controlled substance, import, export, licensing, labeling, and advertising law. Buyer will not export, re-export, or divert product in violation of applicable export control or sanctions law. Supplier may report suspected misuse to the relevant authorities.

14. Force majeure

Supplier is not liable for failure or delay caused by events beyond its reasonable control, including supply interruption, carrier failure, regulatory action, labor disruption, natural events, and utility or network failure.

15. Governing law and disputes

These terms are governed by the laws of the State of Colorado, United States, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado. The UN Convention on Contracts for the International Sale of Goods does not apply.

16. General

These terms, together with Supplier's order acknowledgement, are the entire agreement and supersede prior discussions. If a provision is unenforceable, the rest remains in force. Supplier may update these terms; the version in force at the date of order acknowledgement applies. Buyer may not assign without Supplier's written consent.

17. Privacy

Supplier collects the business and contact information submitted through account applications, quote requests, and enquiry forms, and uses it to assess eligibility, fulfil orders, and communicate about supply. Supplier shares it with payment processors, carriers, email and hosting providers, and other service providers as needed to do that, and retains it for five (5) years or as long as needed to fulfil orders and meet legal obligations, whichever is longer. Buyers subject to GDPR, UK GDPR, CCPA, or another regime should confirm this section meets the requirements that apply to them before relying on it.

19. Terms of use (this website)

Sections 1–18 above govern the sale of goods. This section governs use of the website itself, and applies to everyone who visits it, whether or not they ever place an order.

The catalog, specifications, strengths, and prices published here are provided for information and may change without notice. A published price is an invitation to order, not an offer capable of acceptance; the price that binds is the one on Supplier's order acknowledgement. Supplier does not warrant that the site is uninterrupted, error-free, or that any specification shown is complete or current.

The site's text, layout, photography, and catalog compilation belong to Supplier. You may read, print, and share pages for the purpose of evaluating supply. You may not scrape, republish, resell, or present the catalog as your own, and you may not use the site to gain unauthorised access to any account, to interfere with its operation, or for any unlawful purpose.

The entry attestation is a statement you make about who you are and what you are buying for. Making a false statement there voids any resulting sale and may end your account.

If you add analytics, advertising, or third-party embeds to this site, or if you sell outside the United States, have counsel expand this section before relying on it.
